• "Agreement" — these Terms and Conditions together with any separate service agreement or proposal signed between you and pulsarars.

By accessing our Website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should discontinue use of the Website and not proceed with any engagement.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

3. Description of Services

pulsarars provides artificial intelligence and computer vision services, including but not limited to:

• Computer Vision System Development — design, training, and deployment of visual recognition systems for applications such as object detection, classification, and quality inspection.
• Video Analytics Platform — development of platforms that extract insights from video streams, including activity recognition, people counting, and anomaly detection.
• Image Data Preparation Service — curation, annotation, augmentation, and quality assurance of image datasets for model training.

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project proposal or service agreement. These Terms and Conditions apply to all engagements unless explicitly stated otherwise in the service agreement.

4. User Responsibilities

When using our Website or engaging our Services, you agree to:

• Provide accurate and complete information when submitting enquiries or entering into service agreements.
• Use our Website for lawful purposes only and not in any way that could damage, disable, or impair the site.
• Not attempt to gain unauthorised access to any part of our Website, servers, or systems.
• Not reproduce, distribute, or create derivative works from our Website content without prior written consent.
• Cooperate in good faith during project engagements, including timely provision of data, feedback, and approvals.
• Ensure that any data or materials you provide to us for processing do not infringe upon the rights of third parties.

5. Intellectual Property

All content on this Website — including text, graphics, logos, icons, and software — is the property of pulsarars or its licensors and is protected under Malaysian and international intellectual property laws.

You are granted a limited, non-transferable, revocable licence to access and use our Website for personal or internal business purposes. This licence does not include the right to modify, reproduce, distribute, or create derivative works based on our content.

Regarding project deliverables: the ownership of models, code, and other outputs created during a service engagement is governed by the specific terms of the corresponding service agreement. Unless agreed otherwise in writing, pulsarars retains ownership of its proprietary tools, frameworks, and methodologies.

6. Payment Terms

Service pricing is specified in Malaysian Ringgit (RM) in the relevant project proposal or service agreement. Unless stated otherwise:

• A deposit may be required before work commences, as outlined in the service agreement.
• Invoices are payable within 14 days of the invoice date unless alternative terms are agreed in writing.
• Late payments may be subject to a late fee of 1.5% per month on the outstanding balance.
• All fees are exclusive of applicable taxes, including Sales and Service Tax (SST), unless explicitly stated.

If you wish to dispute an invoice, you must notify us in writing within 7 days of receipt, providing specific details of the dispute.

7. Project Delivery and Scope

Project timelines, milestones, and deliverables are defined in the relevant service agreement. We make reasonable efforts to meet agreed timelines, but delivery dates are estimates and may be affected by factors including the timely provision of data and feedback by the client.

Changes to the agreed scope of work ("scope changes") must be discussed and documented in writing. Material scope changes may affect the project timeline and cost. We will communicate any adjustments before proceeding.

Each project includes a defined acceptance period, typically 14 days from delivery of the final deliverable, during which you may review the work and raise any issues. If no issues are raised within this period, the deliverable is considered accepted.

8. Confidentiality

Both parties agree to treat confidential information received from the other party with the same level of care they would use for their own confidential information. Confidential information includes business plans, technical data, client lists, financial details, and any materials marked as confidential.

This obligation does not apply to information that is publicly available, independently developed, or disclosed under legal compulsion. Confidentiality obligations survive the termination of any service agreement for a period of 24 months.

9. Disclaimers

Our Website and Services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we do not make any representations or warranties, express or implied, regarding:

• The completeness, accuracy, or reliability of any content on the Website.
• The suitability of our Services for any particular purpose beyond the scope defined in the service agreement.
• Uninterrupted or error-free operation of the Website.

The performance of AI and computer vision systems is influenced by data quality, environmental conditions, and other factors beyond our control. We do not warrant specific accuracy rates or outcomes unless explicitly stated in a service agreement.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

• Our total liability for any claims arising from or related to the use of our Website or Services shall not exceed the total fees paid by you under the relevant service agreement in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
• We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, utility failures, cyber-attacks, or pandemics.

11. Indemnification

You agree to indemnify, defend, and hold harmless pulsarars, its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Website, your breach of these Terms, or any data or materials you provide to us that infringe upon the rights of any third party.

12. Termination

We reserve the right to restrict or terminate your access to our Website at any time if we reasonably believe you are in breach of these Terms.

For service engagements, termination provisions are specified in the relevant service agreement. In general, either party may terminate an engagement by providing 30 days' written notice. Upon termination, you are responsible for payment of all fees for work completed up to the termination date. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification survive termination.

13. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising from or in connection with these Terms or our Services shall be resolved through the following process:

• Informal resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice of the dispute.
• Mediation: If informal negotiation does not resolve the matter, the parties agree to submit the dispute to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
• Jurisdiction: If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Malaysia.

14. General Provisions

• Entire agreement: These Terms, together with any applicable service agreement, constitute the entire agreement between you and pulsarars regarding the subject matter herein.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
• Waiver: A failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When material changes are made, we will update the "Last updated" date at the top of this page.
